TUPE, business sales & insolvency

How the transfer facts and insolvency proceeding affect jobs, liabilities and employment protection.

Northern Ireland3 min readReviewed 26 Oct 2026

A business sale during insolvency requires a separate examination of employment transfers. The identity of the business, what transfers, the employees assigned to it and the nature of the proceedings can all matter. The label on the sale agreement cannot settle the statutory position by itself.

Establish whether there is a relevant transfer

Identify the activity, assets, workforce and arrangements before and after the proposed transaction. Determine whether the statutory transfer provisions apply and which employees are assigned to the transferring business.

Timing matters. A transfer before formal insolvency may have different consequences from one within qualifying insolvency proceedings. Retain a clear record of the relevant events rather than relying on the date of the appointment alone.

Read the insolvency provisions carefully

The rules distinguish categories of insolvency proceedings. Whether proceedings are instituted with a view to liquidation of assets and are under the relevant supervision can affect the operation of transfer protection.

Do not infer that every insolvency sale transfers all liabilities, or that liquidation always answers every transfer question without examining the legal tests. Rescue proceedings, the particular transaction and the applicable statutory provisions require attention.

Technical detail

Regulation 8 of the Transfer of Undertakings (Protection of Employment) Regulations 2006 addresses insolvency. Check the amended text and territorial provisions, together with the appropriate local information and consultation legislation. A simplified official overview is a starting point rather than a substitute for those tests.

Map employment debts and communication

Identify which liabilities remain with the old employer, which may pass to the transferee and which fall within a statutory insolvency payment scheme. Any permitted changes to terms require the relevant conditions; insolvency is not an unrestricted power to rewrite contracts.

Employee information, consultation, dismissal decisions and government claims need a coordinated timetable. Explain which matters are established and which remain subject to the transfer assessment. The purchaser’s commercial allocation of risk does not remove an employee’s statutory rights.

Northern Ireland: source route

Use nidirect’s Northern Ireland guidance on transfers of insolvent businesses. Check the applicable transfer regulations and the separate local information and consultation provisions. The kind of proceedings, the transfer timing and National Insurance Fund payments affect the analysis; GB operational claim instructions should not simply be substituted.
